Terms of Service

Summary: By using SLA Keeper you agree to use it only for its intended purpose — monitoring SaaS performance. Don't misuse the service, resell data without permission, or attempt to reverse-engineer our platform.

1. Acceptance of Terms

By installing the SLA Keeper browser extension, accessing the SLA Keeper dashboard, or otherwise using any part of the SLA Keeper platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including individuals using the free tier and organisations on paid plans.

2. Description of Service

SLA Keeper provides a browser extension and web-based dashboard that passively captures performance timing data from supported SaaS applications you already have access to. This data is used to generate independent performance benchmarks and reports.

The Service does not access, store, or transmit the content of pages, documents, or communications within those SaaS applications.

3. Eligibility

You must be at least 18 years old and have the authority to accept these Terms on behalf of yourself or your organisation. By using the Service, you represent that you meet these requirements.

4. Your Account

Dashboard access requires an account. You are responsible for:

  • Keeping your login credentials confidential
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised access at support@slakeeper.io

5. Acceptable Use

You agree to use the Service only for its intended purpose. You must not:

  • Use the Service to collect data from SaaS platforms you are not authorised to access
  • Attempt to reverse-engineer, decompile, or extract the source code of the extension or platform
  • Use the Service in a way that violates any applicable law or regulation
  • Resell, sublicense, or redistribute benchmark data without our express written permission
  • Use the Service to interfere with or degrade the performance of any third-party system
  • Introduce malicious code, scripts, or automated tools to abuse the Service

6. Data & Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the data practices described in that policy.

7. Intellectual Property

SLA Keeper, its logo, and all platform content are owned by SLA Keeper or its licensors. Nothing in these Terms grants you ownership of any intellectual property.

Benchmark data generated from your organisation's timing submissions remains owned by us. We grant you a non-exclusive licence to view and use reports generated for your account for internal business purposes.

8. Subscription & Payment

Free Tier

The free tier is provided as-is with no uptime guarantee. We may modify or discontinue the free tier at any time with reasonable notice.

Paid Plans

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by applicable law. We may change pricing with 30 days' written notice.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that benchmark data is accurate, complete, or suitable for use in legal proceedings or formal SLA dispute resolution without independent verification.

10. Limitation of Liability

To the maximum extent permitted by law, SLA Keeper and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim, or $100 AUD, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless SLA Keeper and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms. You may terminate your account at any time by contacting support@slakeeper.io.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by email. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Queensland.
